UNIVERSITY FACULTY AND STAFF CLUB BY-LAWS

DEFINITIONS:

University Faculty and Staff Club is a social group that utilizes the University Club Resort facilities.

University Club Facilities is the University Club Resort located in Lance aux Epines, St. George’s, Grenada.

Governing Board is the Board of Directors of the University Faculty and Staff Club.

Membership Committee is a subcommittee of the Governing Board.

ARTICLE I. NAME

The name of this organization is the University Faculty and Staff Club.

ARTICLE II: PURPOSE

The University Faculty and Staff Club shall assist St. George’s University in promoting friendship and fellowship among its members, and to foster the teaching, research and outreach missions of the University.

ARTICLE III: MEMBERSHIP

Membership in the University Faculty and Staff Club shall be open to all regular and retired members of the University faculty and staff and their families, visiting professors and their families, faculty of the T. A. Marryshow Community College and their families, and other such persons as may be admitted to membership by vote of the Membership Committee and Governing Board. Honorary membership shall be awarded by the Membership Committee to members of the diplomatic corps and to those individuals from the local community that the Membership Committee approves following completion and submission of a membership application.

ARTICLE IV: MEETINGS

The University Faculty and Staff Club shall hold an annual meeting each year. Special meetings may be called by the Governing Board. The date of any meetings shall be posted in at least two locations in the Club, and the membership shall be informed, in writing (e-mail), at least ten days in advance.

The quorum for the conduct of all business at all meetings shall be those present and voting. The Governing Board, by a majority vote, may elect to submit items to the membership by mail or e-mail for a vote in lieu of holding a regular meeting. In this event, members shall be given at least ten days to respond by mail or e-mail, and the quorum shall be the same as that for the conduct of regular meetings.

ARTICLE V: OFFICERS

The University Faculty and Staff Club shall biannually elect from its Governing Board membership: (a) a President; (b) a Vice-President; (c) a Secretary. These officers shall each be eligible for re-election. The term of office shall begin on July 1 of each year and run for two years.

The President shall: (a) preside at all meetings of the University Faculty and Staff Club and its Governing Board; (b) appoint such committees as are provided by these by-laws, or which hereafter may be established.

The Vice-President shall fulfill the duties and assume responsibilities of the President when requested to do so by the President or the Governing Board.

The Secretary shall: (a) keep minutes of all meetings of the University Faculty and Staff Club and of the Governing Board; (b) prepare and post at the Club Resort, at least once per semester, a list of members and honorary members.

If the Office of the President becomes vacant in the middle of a term, the Vice President shall become President for the remainder of the term.

ARTICLE VI: GOVERNING BOARD

A Governing Board of six members, elected as described below, shall exercise control over University Faculty and Staff Club affairs by recommending major courses of action to members during the annual Club meeting, and with members approval, submitting these recommendations to the University Council of Deans through the Dean of the School of Arts and Sciences. Such recommendations concern (a) adoption of rules and regulations regarding use by Members and Nonmembers of Club Resort facilities; (b) hiring of staff deemed necessary by the Board to improve functioning of the Faculty and Staff Club; (c) to empower the Faculty and Staff Club President to act on its behalf as it may deem appropriate.

The term of office is two years, and each member is eligible for re-election.

ARTICLE VII: COMMITTEES:

The Governing Board shall have the authority to form committees as the Board deems necessary for the proper functioning of the Club.

Membership Committee. The Governing Board shall appoint three faculty members (one from each School) and three staff members to serve as the Membership Committee. Not more than one member of the Membership Committee shall be a member of the Governing Board. The Chair of the Membership Committee is elected by its members. The term of office is two years.

The Membership Committee reviews applications for membership from non-university personnel and makes its recommendation to the Governing Board.

The Membership Committee also hears grievances about member misconduct and makes sanction recommendations to the Governing Board.

ARTICLE VIII: USE OF RESORT FACILITIES

University Club Resort facilities shall be provided primarily for the use of Members and their guests. Members may reserve portions of the Resort premise for private functions, and requests for such use shall be submitted to the Resort Manager at least forty-eight hours in advance.

Questions concerning proper utilization of Club Resort facilities shall be resolved by the University Council of Deans.

ARTICLE IX: ADOPTION AND AMENDMENT OF BY-LAWS

By-laws of the Faculty and Staff Club may be adopted, repealed, and amended by a two-thirds vote of those present or proxy at the annual meeting.
